General terms of business
Last updated: May 2026
1. General provisions
These general terms of business (hereinafter: the Terms) are issued by Automotion d.o.o., operating under the brand Webnite (hereinafter: the provider). The Terms govern the business relationship between the provider and the client of the services (hereinafter: the client).
Provider: Automotion d.o.o.
Studenec 20, 1295 Ivančna Gorica, Slovenia
VAT ID: 63395649
Registration number: 7300212000
Email: info@webnite.si
The Terms apply to all orders and contracts and form an integral part of every offer or contract. Any deviations apply only if the parties have agreed them in writing.
2. Subject and scope of services
The provider performs digital-solution services, in particular:
• website and web-solution development;
• logo and brand-identity design;
• management of advertising campaigns (e.g. Google Ads, Meta Ads and other platforms).
The exact scope of each project is defined in the offer. Services not expressly stated in the offer are not included in the agreed price.
3. Offer and conclusion of contract
Based on an enquiry, the provider prepares an offer describing the services, price and estimated deadline. The offer is valid for 14 days unless stated otherwise.
The contract is concluded when the client confirms the offer in writing (including by email) or pays the advance invoice. By confirming, the client agrees to these Terms.
4. Prices
Prices are stated in the offer in euros (EUR). The provider is liable for VAT; 22% VAT is added to the prices. Prices do not include third-party costs (e.g. photo and font licences, hosting, domain, ad budget) unless expressly stated.
5. Payment terms
Projects (websites, logos, visual identities): 50% of the value as an advance upon order confirmation, the remaining 50% at completion, before handover of the final files or publication.
Advertising management: a monthly fee in advance. The ad budget (funds spent on the platforms) is separate from the fee and is covered by the client directly or by arrangement.
The invoice payment term is 8 days from issue. In the event of delay, the provider charges statutory default interest and may withhold the provision of services or the handover of results until payment is made.
6. Client's obligations
The client undertakes to:
• provide all necessary materials, data and access in good time (texts, images, logos, account access, domain, hosting);
• provide feedback and approvals within a reasonable period of 5 working days;
• ensure that it has the right to use all materials provided and that these do not infringe the rights of third parties.
If the client is late, the delivery deadline is extended accordingly, and the provider is not liable for delays caused in this way.
7. Delivery deadlines
Estimated deadlines are stated in the offer and depend on the client's timely cooperation. Deadlines do not run while the provider is waiting for the client's materials, approvals or payments.
8. Revisions and additional work
The price includes 2 rounds of revisions per result, unless stated otherwise in the offer. Additional revisions or changes in scope that exceed what was agreed are charged separately according to the applicable price list or by arrangement.
9. Copyright and ownership
Until all obligations are paid in full, all rights to the solutions produced remain with the provider. Upon receipt of full payment, the client acquires the right to use the final result for the agreed purpose.
Source (working) files are subject to a separate agreement; unless stated otherwise, the client receives the final output files, but not necessarily all working files.
Third-party tools and libraries are used in accordance with their licences. The provider reserves the right to show the solutions produced among its references (portfolio, social media), unless the parties agree otherwise in writing.
10. Special provisions for advertising
To run advertising, the client provides the provider with the appropriate access; ownership of the ad accounts remains with the client.
Advertising platforms (Google, Meta and others) have their own rules, over which the provider has no influence; any rejections, restrictions or changes to the platforms' rules are not the provider's responsibility.
The provider acts with the diligence of a good professional but does not guarantee specific results (e.g. the number of conversions, sales, rankings or return), as these depend on factors beyond its control (the market, competition, the client's offering, platform rules).
11. Warranty and defect remedy
The provider warrants the flawless operation of the solution produced in accordance with the agreed scope for a period of 30 days after handover. During this period it remedies, free of charge, defects arising from its own work. The warranty does not cover defects due to interventions by the client or third parties, changes in the environment (e.g. platform updates) or improper use.
12. Limitation of liability
The provider is liable only for direct damage caused by its gross negligence or wilful misconduct. It is not liable for indirect damage, lost profit, loss of data or damage caused by the actions of the client or third parties. The provider's total liability is limited to the value of the relevant order.
13. Confidentiality
The parties keep business information obtained during the cooperation confidential and do not disclose it to third parties without the other party's consent, unless required by law.
14. Protection of personal data
The provider processes personal data in accordance with the GDPR and its Privacy policy. Where the provider processes personal data on behalf of the client as part of the services, the parties conclude a data-processing agreement where necessary (Art. 28 GDPR).
15. Termination of cooperation
Either party may terminate the cooperation by written notice. The client settles all services performed and costs incurred up to that point. An advance already paid is not refunded for the part corresponding to work already done.
16. Complaints and dispute resolution
The client may file a complaint about a service performed within 8 days of handover, in writing to info@webnite.si.
The parties will endeavour to resolve any disputes amicably. For disputes that cannot be resolved amicably, the competent court in Ljubljana has jurisdiction. The law of the Republic of Slovenia applies.
If the client acts as a consumer, in accordance with the Out-of-Court Settlement of Consumer Disputes Act (ZIsRPS) we inform them that we do not recognise any provider of out-of-court consumer dispute resolution. The European online dispute resolution (ODR) platform was discontinued on 20 July 2025, so we do not refer to it. For cross-border consumer disputes, the consumer may contact the European Consumer Centre.
17. Changes to the Terms
The provider may amend the Terms; the version in force is the one published on the website at the time each order is concluded.
